CAXA STAYS — TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern all bookings made through the Caxa Stays platform at book.caxastays.com. By making a reservation, you agree to these Terms in their entirety.


1. Contracting Entity

Your contract is with Eternus LLC, a Wyoming Limited Liability Company (EIN: 93-2238177), located at 30 North Gould Street, Sheridan, Wyoming 82801, United States. Managing Member: Zachary Jules Schiller. Contact: caxastays@gmail.com. Eternus LLC is the sole legal counterparty to your reservation.


2. Properties & RNT Compliance

All properties are registered under Colombian tourism law (Ley 2068 de 2020) and comply with municipal regulations in Medellín and El Retiro, Antioquia, Colombia.

RNT numbers are subject to periodic renewal and will be updated on the booking platform as needed.


3. Eligibility

You must be at least 18 years old, have legal capacity to contract, provide accurate information and valid government-issued photo ID, and possess an accepted payment method. Eternus LLC may refuse any reservation where eligibility requirements are not met or fraud is suspected.


4. Guest Identification & Government Reporting (SIRE/TRA)

Under Colombian law (Ley 2068 de 2020, Decreto 1071 de 2015), Eternus LLC must report all guests to government authorities:

  • SIRE: Foreign nationals are reported to Migración Colombia.
  • TRA: All guests complete a registration card (Tarjeta de Registro de Alojamiento).

You must provide your full legal name, passport or cédula number, date of birth, nationality, contact information, and purpose of visit. This reporting is legally mandated and non-waivable. Failure to comply may result in denied check-in without refund.


5. Minors & Child Safety

Per Colombian law (Decreto 2590 de 2009, Decreto 1067 de 2015):

  • Guests under 18 require written parental/guardian authorization and a copy of their birth certificate at check-in.
  • The booking holder assumes full responsibility for all minors.
  • Non-compliance: USD $100 per incident; USD $25 per unregistered person per day.

ZERO TOLERANCE — SEX TOURISM PROHIBITION: Per Colombian Law 679 of 2001, any evidence or suspicion of sexual exploitation of minors will be reported immediately to Colombian authorities (Policía Nacional, ICBF) and the reservation terminated without refund.


6. Booking Process

Caxa Stays uses an inquiry-based model. Your booking request is an offer. A binding reservation exists only when confirmed in writing by Eternus LLC via email from caxastays@gmail.com. Until confirmation, no obligation exists. Modifications require written request and are subject to availability.


7. Payment Terms

Full payment is due at booking confirmation, processed exclusively through Stripe in USD, EUR, or COP. By providing payment information, you authorize Eternus LLC to: (a) charge the full booking amount; (b) retain your tokenized payment method for refunds and verified damage charges. Currency fluctuations and bank fees are your responsibility. Payments are subject to Stripe’s terms at stripe.com. Dispute unauthorized charges within 30 days to caxastays@gmail.com.


8. Cancellation & Refund Policy

All cancellations must be submitted in writing to caxastays@gmail.com.

  • 30+ days before check-in: 100% refund
  • 14–29 days: 50% refund
  • Less than 14 days: No refund

Refunds processed within 5–10 business days to the original payment method. No exceptions for personal emergencies unless required by Colombian law or force majeure (Section 14). Promotional code bookings may have non-refundable terms disclosed at booking.


9. Check-In & Check-Out

Check-in: 3:00 PM. Self-directed; access instructions sent after payment. Late arrival after 8:00 PM requires prior approval. Inspect the property and report any existing damage to caxastays@gmail.com within 24 hours.

Check-out: 10:00 AM. Vacate completely, return all keys/cards, lock all doors and windows, dispose of trash properly. Post-checkout inspection within 48 hours; damage documented with photos.


10. House Rules & Guest Responsibilities

You agree to: respect property and furnishings; not exceed maximum occupancy; observe quiet hours (10 PM–8 AM); comply with all applicable laws; and maintain contact availability throughout your stay.

Noise Monitoring (Minut Sensors): Properties may be equipped with Minut ambient noise sensors (no audio recording). Per Colombian Resolution 0627 of 2006, maximum levels: 70 dB daytime / 60 dB nighttime.

Fee Schedule (evidence-based, charged to card on file):

  • First noise violation: USD $50
  • Second noise violation: USD $150
  • Third violation: immediate termination, no refund
  • Sensor tampering: USD $200 per device
  • Smoking/vaping indoors: USD $250 minimum (additional for ozone treatment if needed)
  • Unauthorized pets: USD $500+ plus immediate eviction
  • Lost keys/access cards: USD $75 per item
  • Excessive cleaning: USD $100–$500
  • Unregistered guest/visitor: USD $25/person/day; USD $100 per registration incident

All fees are assessed only with objective evidence (sensor records, timestamped photos, cleaning reports, building documentation). Violations may also result in eviction without refund.

Prohibited: Commercial use; monetized filming/photography; parties exceeding guest count; weapons or hazardous materials; illegal activity. Third-party personnel (delivery, couriers) are not permitted beyond building lobby areas.


11. Damage Liability

You authorize Eternus LLC to charge your card on file for verified damage beyond normal wear and tear. Process: (1) property inspected within 48 hours of checkout; (2) written notice with photos and repair estimates sent to you; (3) you have 5 business days to dispute in writing with evidence; (4) if undisputed or dispute is unmeritorious, card is charged.

Charges up to USD $500 may be processed without further authorization. Charges above $500 require documented professional repair quotes. Normal wear (minor scuffs, small chips in dishware, worn linens) is not chargeable. Eternus LLC may pursue additional claims through arbitration if damages exceed card charges.


12. Protected Persons & No Personal Liability

“Protected Persons” means Eternus LLC, Zachary Jules Schiller (Managing Member), and all members, managers, officers, employees, agents, representatives, affiliates, and subsidiaries of Eternus LLC. Eternus LLC is a separate legal entity under Wyoming law. You agree that: (a) all obligations are those of Eternus LLC only; (b) no Protected Person has personal liability; (c) you will not pursue claims against any Protected Person individually; (d) your sole remedy is against Eternus LLC through the dispute procedures in Section 16.


13. Indemnification & Assumption of Risk

Indemnification: You agree to indemnify, defend, and hold harmless Eternus LLC and all Protected Persons from claims, damages, costs, and expenses (including attorneys’ fees) arising from: your breach of these Terms; your negligence or misconduct; injuries or damage to third parties caused by you; property damage exceeding normal wear; or your violation of any applicable law.

Assumption of Risk: You voluntarily assume all risks of occupying a vacation rental property in Colombia, including environmental hazards, wildlife, altitude/climate variations, weather events, infrastructure limitations, limited medical access (especially rural El Retiro properties), and personal security considerations. This does not limit Eternus LLC’s liability for its own gross negligence or willful misconduct.


14. Limitation of Liability & Force Majeure

Liability Cap: Except for gross negligence, willful misconduct, or fraud, Eternus LLC’s total liability shall not exceed the booking amount paid. IN NO EVENT SHALL ETERNUS LLC BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF ENJOYMENT. Properties are provided “as-is.”

Force Majeure: If a property becomes unavailable due to events beyond reasonable control (natural disaster, pandemic, government action, war, civil unrest), Eternus LLC will offer a full refund, rebooking, or alternative property. If force majeure occurs during your stay and the property is uninhabitable for 48+ hours, you may cancel for a full refund of unused nights.


15. Class Action Waiver & Jury Trial Waiver

All claims must be brought individually, not as class, consolidated, or representative actions. You waive any right to participate in class actions against Eternus LLC. If this waiver is found unenforceable, the arbitration provision is void. TO THE FULLEST EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THE RIGHT TO TRIAL BY JURY.


16. Dispute Resolution

Step 1 — Negotiation: Send written notice to caxastays@gmail.com. Eternus LLC will respond within 14 days. If unresolved within 30 days, proceed to mediation.

Step 2 — Mediation: Non-binding mediation under AAA Mediation Rules, conducted remotely or in Cheyenne, Wyoming. Costs split equally.

Step 3 — Binding Arbitration: Under AAA Arbitration Rules. One neutral arbitrator; venue in Cheyenne, Wyoming or remote. Governed by Wyoming law (subject to mandatory Colombian provisions). Award is final and enforceable in any court. Small claims (under jurisdictional limits) may proceed in court.


17. Governing Law

These Terms are governed by Wyoming law (CISG excluded). Mandatory Colombian provisions apply: RNT compliance (Ley 2068 de 2020), SIRE/TRA reporting (Decreto 1071 de 2015), consumer protection rights, and tax compliance. Where Wyoming and Colombian law conflict, mandatory Colombian provisions prevail to the extent required by Colombian public policy. Litigation venue: Laramie County, Wyoming, though Eternus LLC may pursue claims in any competent jurisdiction including Colombia.


18. Promotional Codes

Promotional codes (e.g., “DIRECT5” for 5% discount) are subject to specified validity periods, limited to one per booking, non-transferable, and have no cash value. Some codes may carry non-refundable terms. Eternus LLC may modify or cancel promotions at any time.


19. General Provisions

Entire Agreement: These Terms and your booking confirmation constitute the entire agreement. No verbal modifications are binding; changes require writing signed by Eternus LLC.

Severability: If any provision is found unenforceable, the remainder stays in effect. If the class action waiver is invalidated, the arbitration clause is void.

Modifications: Eternus LLC may update these Terms at any time. Changes apply to new bookings only, not confirmed reservations (unless required by law).

Waiver: Failure to enforce any provision is not a waiver. Waivers must be express and written.

Future Entity: Eternus LLC may establish a Colombian operating entity in the future. Fundamental terms will not materially change. Guests with active reservations will receive 30 days’ notice of any corporate transition.

Contact & Notices: All notices to caxastays@gmail.com or by certified mail to 30 North Gould Street, Sheridan, WY 82801. You must maintain contact availability for 6 months post-checkout.


20. Acceptance & Bilingual Notice

By completing a reservation, you confirm that you have read, understood, and agree to these Terms, including the cancellation policy, liability limitations, class action waiver, arbitration clause, and assumption of risk. Your acceptance is final upon payment confirmation.

Language: These Terms are provided in English. A Spanish version may be requested from caxastays@gmail.com. For Colombian residents and disputes under Colombian law, the Spanish version prevails. For all others, English prevails.

En caso de conflicto entre versiones, la versión en español prevalecerá para residentes colombianos conforme a la legislación colombiana.
